GETTING STARTED

Access and use of the Banco Santander Webinar services ("Santander Trade Webinars") is subject to compliance by you (referred to as "You" or "the User") of the terms and conditions set forth herein. Please read this document carefully before accessing or using any Santander Webinar. Santander Trade Webinars is provided by Santander Trade Webinars is provided by Banco Santander S.A.. entity registered in the Spanish Bank (hereinafter, “Banco de España”) under registered number 0049, addressed in Santander, Paseo de Pereda, 9-12 and Tax Identification Number: A-39000013.

By accessing or viewing the Santander Webinars, you agree to the following Terms of Use. If you do not agree to be so bound, you may not access or view the Santander Webinars. As subjects covered in these Webinars can change daily, all information is current as of its first appearance in a Webinar or when last modified.

The terms and conditions set forth herein may be modified, at any time, and any such modification shall be effective immediately upon the posting of the modified terms and conditions.

DEFINITIONS

Visitors : Individuals who are not registered Users. Visitors have access to a limited number of services and information about the services available on the website.

Registered Users : Individuals who have registered on the website through a specific form, providing some personal and professional information. They have access to all content and services of the website.

Webinars : Presentations, lectures, workshops or seminars that are transmitted over the Web using video conferencing software.

Webcasts archives : Past webinars that can be accessed completely or in part from the Santander Webinar website.

Third party partners/speakers : Experts who present their knowledge of a topic presented in a Webinar and are not employed by Santander.

The Interface Provider : Export Entreprises SA, a company specialised in developing non-financial services that are focused on the promotion of international trade through content resources, business development services and webinars. EESA operates the Santander Trade Webinars website and provides the service to Banco Santander and its subsidiaries. These services are offered through an application programming interface (API) from the Technology Provider.

The Technology Provider : GetResponsesp.z.o.o, an online technology company based in Gdansk, Poland, developed and runs ClickMeeting, the audio- and web-conferencing software used for Santander Webinars. Santander and the Interface Provider reserve the right to change the Technology Provider without prior notice to Users.

The Organizer : The entity organizing a webinar. This can be Banco Santander or its subsidiaries

The Speaker : The individual(s) presenting the webinar and providing the content and documents. The Speaker can be a Santander employee or a third party partner.

GENERAL TERMS

The Santander Trade Webinars website (https://webinars.santandertrade.com) and the application supporting the webinars are operated by Export Entreprises SA, 1 rue de Stockholm F -75.008 Paris, France, and tax identification number FR 14 950 571 224.

The content of the website, the webinars and the webcast archives are made available by the Speaker under agreement with Banco Santander and its subsidiaries.

The content of the webinars and this website is for informational purposes only.

The User may use any information or materials available on the website at his/her own risk. Neither Banco Santander nor the Interface Provider are responsible of the content of the website and in any case shall liable for the accuracy of information given on that website when provided by third party speakers/partners.

There may be links to other websites not operated by Banco Santander. However, it does not mean Banco Santander is endorsing the content of those other party websites or their products/services. Banco Santander is not responsible for content not generated by the company or the content included in websites operated by third parties.

Banco Santander reserves the right to make some or all of the webinars and webcast archives of the website restricted to visitors or registered users based on criteria stated in these T&C at any time.

REGISTRATION

By registering for a webinar, consent is given for application details to be provided to Banco Santander, Export Entreprises SA of Paris (“Interface Provider”) and ClickMeeting ("Technology Provider" or other such service as appointed by Santander and/or EESA), the audio and web-conferencing service provider ("The Technology Provider"), in order to set up the webinar. You can view ClickMeeting policies on their website by following this link: http://www.clickmeeting.com/privacy_policy.html.

Personal data collected in the registration shall be processed as described in PRIVACY AND PERSONAL INFORMATION section of this T&C

Registration for any Santander Webinar will not be considered complete until registration username and password are confirmed by the User. The username and password are for the exclusive use of the User. IF YOU ARE VIEWING A WEBINAR NOT REGISTERED TO YOU, YOUR UNAUTHORIZED ACCESS PERMITS SANTANDER TO SEEK IMMEDIATE LEGAL ACTION.

Santander is not responsible for typographic errors. Santander is not responsible for User’s computer or software failure during the webinar. Users should check the webinar computer requirements found in the Computer Software Issues section below.

PARTICIPATION

Attendance at a webinar is free and for the use of the registered User only. Registration information should not be forwarded on to third parties except the providers of the services above mentioned; doing so may hinder your own access, as webinar entry is by prior registration only. Responsibility for the confidentiality and security of webinar registration information and event materials issued by the platform lies with the registrant.

The virtual event facility includes a feature that allows audio/video, any documents and other materials exchanged or viewed during the session to be recorded. By joining a session, you automatically consent to such recordings.

You agree to comply with the rules of conduct of the webinars where you inscribe and, in case, to be responsible for any comment, opinion, information, documentation or any other content that you provide to the webinar.

The user assumes the responsibility of the use of the webinars. In this regard, the user assumes and understand that the participation or interchange of information in the Webinars shall imply to respect the following rules :

1. By the fact of adding any data, commentary or information, the participant assumes that it will be shared with the rest of the users.

2. The user will try to add value to their comments, facilitating contrast information and perspectives. In this regard, the information and data to be incorporated must be truthful and update. The contributions should present real and concrete data, and a consistent argumentation. Quotes or the reproduction of small fragments of texts, books or works will be permitted, provided that the source and author’s name is indicated.

3. Some Webinars constitute a forum for an exchange of views or for the constructive debate, but it is not the appropriate forum to create controversy.

4. The contributions will be deleted, without the right to reply when:

  1. They are considered disrespectful, threatening, unfunded, slanderous, inappropriate, ethical or socially discriminatory or occupationally reprehensible or which in any way, can cause material or non-material damages to the organization, its employees, partners or a third person.
  2. They configure any act or omission contrary to the laws and/or conditions of use, the rest of policies and conditions that regulate the access and use of the webinars
  3. They contain any recommendation regarding the securities markets, inside information or promotional material or advertising, personal or on behalf of third parties, whether natural or legal persons.
  4. They are redundant.
  5. They manifest sectarian opinions, configured policy or social, religious or xenophobic propaganda.
  6. They are not related to the proposed services or the themes of the relevant Webinar.
  7. They are contrary to a law, morals, good faith and public order or contain any computer virus or similar software routine, capable of violating rights of industrial, intellectual, images or other property rights of third parties.

5. In any case, SANTANDER will not be responsible for the opinions, comments, criticisms or statements expressed by users through the relevant Webinars.

COMPUTER CONFIGURATION AND SOFTWARE ISSUES

Web-event participation may require you to configure your settings (audio/video firewalls) on your web-device and computer upon first use, or require you to download software for your operating system. Please note that you may require administrator privileges on your computer to be able to manually install software.

Banco Santander is not responsible for Users who fail to download the appropriate software and/or verify their computer configuration or rich media players before the webinar begins. Failure to do so and inability to view the webinar is not the responsibility of Santander.

512 MB of RAM (1 GB recommended) for Windows XP or Windows 7; 1 GB of RAM (2 GB recommended) for Windows Vista or Windows 8

Microsoft Internet Explorer 8 (to access the meeting room) or 9 (to use the account panel) (32 bit only); Mozilla Firefox 3 or higher; Google Chrome

Adobe® Flash® Player 11.3 for all Users (hosts, presenters, participants, and administrators). Ports 1935, 443 and 80 need to be open.

OWNERSHIP OF INTELLECTUAL PROPERTY

Santander Webinars contain content which includes without limitation images, illustrations, designs, icons, photographs, video clips, sounds, text, data and other materials displayed or available on the Santander Webinar (the "Content") that is protected by copyright, trademark, trade dress, and/or other proprietary rights of Santander and third-party content providers (all parties, including Santander are singly and collectively the "Providers"). You agree to comply with any and all restrictions regarding use of the Content.

Banco Santander and its subsidiaries are not the responsible for the content of the webinars provided by third parties, thus they shall not be liable for the accuracy, veracity, legality of the information, documentation, opinions or any other content provided by the Speaker or included in the webinars

USE OF MATERIALS

NO CONTENT FROM THIS WEBINAR MAY BE COPIED, REPUBLISHED, UPLOADED, OR OTHERWISE DISTRIBUTED. YOU MAY NOT SUBLICENSE, TRANSFER OR OTHERWISE MAKE AVAILABLE ANY CONTENT TO ANY THIRD PARTY FOR COMMERCIAL PURPOSES OR FINANCIAL GAIN OR USE THE CONTENT IN ANY OTHER MEDIA OR IN ANY LOCATION. PRIVACY AND PERSONAL INFORMATION

In connection with the operation of the webinar we will ask you to provide us with information that personally identifies you or allows us to contact you ("Personal Information") when you register for the use of the service. The Personal Information that you provide us in these circumstances will be included in personal data files of BANCO SANTANDER S.A., EESA and ClickMeeting with the only purpose to provide the webinar services to you. Any personal data shall only be communicated to The Technology Provider and the Speaker for the sole purpose of enabling them to operate and deliver the best webinar service. You can obtain detailed information about the identity of the Technology Provider in the service description available in the website: http://www.clickmeeting.com/

The Data Controller will not communicate or disclose personal information collected via Santander Trade Webinars to third parties without permission or request by law. It is a requirement of Santander's third party partner, when they operate as Speaker, to enter into an agreement prohibiting disclosure of this information to others and restricting its use to providing the contracted services of the webinar.

Personal Information collected through Santander Webinars by us will also be used for internal record keeping, products and services improvement, delivering promotional information on our services via email and/or other channels. Thus, by registering in the Service the user accept and consent said data processing.

The users shall exercise the access, erasure, rectification and opposition rights to their personal data processing by sending a written communication to the following address: Export Entreprises SA, 1 rue de stockholm F -75.008 Paris, France.

With this comes the understanding of Users' need for privacy when using the web for communications and the utmost care in providing the highest levels of security possible. The Personal Information that we collect from webinar registrants is stored in operating environments that employ reasonable security measures and that are not available to the general public. Santander, Export Entreprises and ClickMeeting Service (or other such service as appointed by Santander) are not responsible for unauthorised access to such information by hackers or others that obtain access through illegal measures.

APPLICABLE LAW

This document is governed by Spanish law. In the case of any dispute relating to the construction, application and performance of any of the provisions of this document and in the absence of an amicable agreement between the User and Export Entreprises SA, the courts of Madrid shall have sole jurisdiction to rule on the dispute.
